The Renaissance Irish American Club Bylaws
The Irish American Club of Renaissance shall be a social and charitable organization dedicated to the purpose of promoting and enhancing the fraternity and good fellowship of its members. The organization will be open to all residents of Renaissance. The organization shall be non-profit, non-sectarian and non-political. Regular meetings of this organization shall be held at a time and place designated by the officers and as made available by the Renaissance Home Owners Associations (RHO). The officers of the organization shall be as follows: President Vice-President, Secretary, Treasurer, and Corresponding Secretary. Each officer shall be elected by the general membership for a period of one (1) year. The governing body of this organization shall be known as the Executive Board which shall consist of the Board of Trustees and the elected officers. This Board shall be responsible to the General Membership and its duties shall be outlined and presented to the general Membership within 180 days of commencement. The Board of Directors shall consist of five (5) members appointed by the President. One of the appointments shall always be the out-going President. The trustees shall serve for a period of one (1) year. Newly elected officers shall be installed as the first order of business at the next meeting following the election. Vacancies shall be filled by appointment by the President and approval of two thirds of the Executive Board. Appointment to fill vacancies shall continue through the unexpired term of the office. In the event of a vacancy in the position of President, the Vice President shall automatically assume the position as President. Membership shall be open to all residents of Renaissance. Any member shall be entitled to nominate, be nominated, vote for any candidate for office in this organization and vote on any general business of this organization. All voting shall be by simple majority of those present unless otherwise specified for that specific election.
Duties of Officers: President It shall be the duty of the President, as Chief Executive Officer, to preside at all meetings of the organization. He/She shall serve as Chairperson of the Executive Board and shall appoint all members of the Board of Trustees as well as all Committee Chairpersons. Vice-president He/She shall preside at all meetings in the absence of the President and act as liaison with all committee chairpersons. Secretary He/She shall keep full and complete minutes of all proceedings and meetings which minutes shall be read to the General Membership at the next meeting. Treasurer He/She shall disburse funds of the organization and shall render a report on the financial transactions of the organization since the previous meeting. He/She shall maintain books and records indicating disbursements, subject to periodic audits. Corresponding Secretary Her/She shall prepare notices of all meetings including but not limited to General Membership, Executive Board and Committee Meetings, to each member at least one week prior to the meeting Executive Board The Executive Board members shall be responsible to arrange programs and supervise all matters pertaining to the organization. Trustees They shall be responsible to the General Membership for the interpretation of rules and good order of the organization. Roberts Rules of Order shall be the standard parliamentary guide for al meetings of this organization. |
